Terms of Service

1. Acceptance of Terms
By creating an account or using BackShop AI (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including businesses and their authorized representatives.
2. Description of Service
BackShop AI provides an AI-powered back-office platform designed for trades businesses, including plumbers, HVAC technicians, electricians, general contractors, and other field service operators. The Service includes an AI phone answering agent, automated quoting and invoicing, job scheduling, payment collection, and review management tools. Features are provided on a subscription basis and may vary by plan.
3. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when creating your account and keep it up to date. You may not share your account with others or transfer it to another party. You must notify us immediately at hello@backshop.ai if you suspect unauthorized access to your account. You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of your business.
4. Subscription, Billing, and Cancellation
BackShop AI is offered on a month-to-month subscription basis. There are no long-term contracts or cancellation fees. You may cancel your subscription at any time from your account settings, and your access will continue through the end of the current billing period. We offer a 30-day money-back guarantee for new customers: if you are unsatisfied with the Service within the first 30 days of your initial subscription, contact us at hello@backshop.ai for a full refund. Subscription fees are billed in advance on a monthly basis. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations, including telecommunications laws governing automated calling and SMS. You may not use the Service to: engage in deceptive, fraudulent, or misleading practices; harass, abuse, or harm any individual; violate any third-party rights; attempt to reverse-engineer, scrape, or disrupt the Service; or resell or sublicense the Service without our written consent. You are solely responsible for the content of calls, messages, quotes, and communications sent through the Service on behalf of your business.
6. Limitation of Liability
To the maximum extent permitted by law, BackShop AI and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue, arising from your use of or inability to use the Service. Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the three months preceding the claim. The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.
7. Data Handling
We collect and process business information, call recordings and transcripts, customer contact details, and payment data in order to provide the Service. Call recordings and transcripts are processed by third-party AI services (including Anthropic and Retell AI) to generate lead summaries and automate responses. Payment data is processed by Stripe and is not stored on our servers. We retain your data for as long as your account is active and for a reasonable period thereafter. 8. Data Usage and AI Learning
To make our AI features more accurate over time, BackShop AI may analyze how the product is used across all customers to identify patterns and structures (for example: common job types, qualifying questions that lead to more closed deals, typical pricing structures within a vertical). This analysis only extracts patterns and aggregate structure — never your specific customer data, customer names, contract terms, or business identity.
You can opt out of cross-customer pattern learning at any time in your account settings. If you opt out, our AI features (quotes, phone agent, insights) will improve more slowly and won't benefit from patterns we learn across the broader contractor community. Per-business personalization stays fully active — the product still learns from your own data. Most customers leave this on.
9. Intellectual Property
BackShop AI retains all rights, title, and interest in and to the Service, including all software, models, designs, and content. You retain ownership of the data you input into the Service (your business information, customer data, and content). By using the Service, you grant BackShop AI a limited license to use your data solely to provide and improve the Service. You may not copy, modify, or distribute any part of the Service without our written permission.
10. Termination
We reserve the right to suspend or terminate your account at our sole discretion if you violate these Terms, engage in fraudulent activity, or if required by law. You may terminate your account at any time. Upon termination, your access to the Service will cease and we may delete your data in accordance with our data retention policy. Sections covering limitation of liability, intellectual property, and governing law survive termination.
11. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of the State of Connecticut, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Connecticut, and you consent to personal jurisdiction in those courts.

14. SMS Messaging Terms
By creating an account and opting in to SMS communications, you agree to receive text messages from BackShop AI at the mobile number you provide, including operational notifications such as lead alerts, appointment confirmations, payment updates, and account notices. Message frequency varies based on account activity. Message and data rates may apply. You may opt out at any time by replying STOP to any message, or reply HELP for assistance.
You acknowledge and agree that when using the Service to send SMS messages to your own customers ("End Customers"), you are solely responsible for obtaining prior express consent from each End Customer in compliance with the Telephone Consumer Protection Act (TCPA), applicable state laws, and CTIA guidelines. You represent and warrant that you have obtained such consent before initiating any SMS communication through the Service, and you agree to indemnify BackShop AI against any claims arising from your failure to do so.
